A concave thrust washer(pictured above) holding the clutch basket must have been it.   I had the day off and went out for 100mi.  If I feather the clutch during my upshift to 5th, I can get it every time, and then it's off to the races.   Bike runs fantastic.
I'm happy with it as-is.  Thanks everyone for the input over the past year.

Nice!

From the sounds of it you may have been dealing with a compound problem.  When you put everything back together did you re-do all of the clutch adjustments from scratch?  I ask because your current symptoms could be caused by a too-tight or too-loose lifter adjustment (causing drag on the shafts when you're trying to shift).

Question:  now during failed shifts, any noises?

During failed shifts, there is no noise.  Nothing.  Not even gear chatter.....just the sound of my rpms going up ;D
The thing that baffles my mind...everything was within tolerances, measured good, and no blaring defects or installation issues that I could find.....except for that clutch thrust washer.
This clutch was only off the mainshaft when I installed it on the new main and countershafts.  Which, unless installed by the PO incorrectly, shouldn't have effected my last trans.

Oh well  ::)

Reading for my cb750k7 quota for the week, check. Now I need more riding time... Ok, I cant remember where in this post but someone mentioned they were able to pop fifth gear without using the lever, I'm curious if they figured out what was the problem.

So after reading this post yesterday I went to fiddled with the lever today to make sure I didn't tighten the lever to tight or have it to loose. Than went for a ride, while going through the the gears I still wasn't able to find fifth but can pop into fifth. I dont have a lot of throttle play, not enough for my taste but that might be just a personal thing. I'm wondering if it's time for new friction plates or can I still tweak around.
